1. Acceptance of Terms

Welcome to UGC AI ("we," "our," or "us"). By accessing or using our website at ugcai.io and our AI-powered video and carousel generation services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms, you may not access or use the Service. We recommend that you print or save a copy of these Terms for your records.

2. Description of Service

UGC AI provides an AI-powered platform that enables users to:

• Generate UGC-style videos using AI avatars
• Create product carousel images for social media
• Transform product photos into marketing content
• Access various AI models for content generation

The Service uses artificial intelligence to process user-uploaded images and generate video and image content based on user specifications.

3. Account Registration

To use the Service, you must create an account. By registering, you agree that:

• You are at least 18 years of age
• You will provide accurate and complete registration information
• You will maintain the security of your account credentials
• You are responsible for all activities under your account
• You will notify us immediately of any unauthorized use

We reserve the right to refuse registration or terminate accounts at our discretion.

4. Credit System & Payments

4.1 Credit-Based System

Our Service operates on a credit-based system. Credits are required to generate videos, carousels, and images. The cost in credits for each action is displayed before you confirm the generation.

4.2 Subscription Plans

We offer the following subscription plans:

• Starter: $29/month - 30 credits per month
• Pro: $69/month - 100 credits per month
• Agency: $139/month - 300 credits per month

4.3 Credit Policies

• Non-Refundable: All credit purchases and subscription payments are non-refundable
• Monthly Reset: Subscription credits reset at the beginning of each billing cycle. Unused monthly credits do not roll over
• Credit Packs: Purchased credit packs never expire and can be used at any time

4.4 Payment Processing

Payments are processed by third-party payment processors. By making a purchase, you agree to the payment processor's terms of service.

5. Acceptable Use Policy

You agree not to use the Service to create, upload, or distribute content that:

• Is illegal or promotes illegal activities
• Contains adult, explicit, or pornographic material
• Infringes on copyrights, trademarks, or other intellectual property rights
• Is misleading, deceptive, or fraudulent
• Harms or exploits minors in any way
• Contains hate speech, harassment, or discrimination
• Impersonates others or misrepresents your identity
• Contains malware, viruses, or harmful code
• Violates any applicable laws or regulations

We reserve the right to remove any content that violates these guidelines and to terminate accounts of users who repeatedly violate this policy.

6. Intellectual Property

6.1 Your Content

You retain ownership of all content you create using our Service, including generated videos and images. By using the Service, you grant us a limited license to process your uploaded images solely for the purpose of providing the Service.

6.2 Your Responsibilities

You represent and warrant that:

• You own or have the necessary rights to all images you upload
• Your use of the Service does not infringe on any third-party rights
• You have obtained all necessary consents for any persons depicted in your content

6.3 Our Intellectual Property

The Service, including its design, features, and technology, is owned by UGC AI and protected by intellectual property laws. You may not copy, modify, or reverse engineer any part of the Service.

7. Content Guidelines

We may review content generated through our Service and reserve the right to:

• Remove content that violates these Terms
• Suspend or terminate accounts for violations
• Report illegal content to appropriate authorities

We are not responsible for user-generated content and do not endorse any content created through our Service.

8. Limitation of Liability

8.1 Service Provided "As Is"

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

8.2 No Guarantee of Uptime

We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free. We may suspend or discontinue the Service at any time without notice.

8.3 Limitation of Damages

To the maximum extent permitted by law, UGC AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service.

8.4 Maximum Liability

Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

9. Termination

9.1 Termination by Us

We may suspend or terminate your account immediately, without prior notice, if:

• You violate these Terms
• You engage in fraudulent or illegal activity
• We are required to do so by law
• We discontinue the Service

9.2 Termination by You

You may delete your account at any time through the Settings page. Upon deletion, your account data will be removed, but we may retain certain information as required by law.

9.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Any unused credits will be forfeited and are non-refundable.

10. Changes to Terms

We may update these Terms from time to time. We will notify you of any material changes by posting the new Terms on our website and updating the "Last updated" date.

Your continued use of the Service after any changes constitutes your acceptance of the new Terms. If you do not agree to the updated Terms, you must stop using the Service.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be resolved exclusively in the courts located in Israel.

12. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and UGC AI regarding the Service.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
• Assignment: You may not assign your rights under these Terms without our prior written consent.
